INVESTMENT PLATFORM TERMS AND CONDITIONS
Last Updated: October 15, 2026
Please read these Terms and Conditions ("Terms", "Agreement") carefully before using this investment platform (the "Platform", "Service"). By registering an account, depositing capital, or accessing our services, you explicitly agree to be bound by the terms, disclosures, and risk acknowledgments outlined below. If you do not agree to these terms, you must immediately cease all use of the Platform.
1. NATURE OF THE AI-DRIVEN TRADING SERVICE
Automated Asset Management: The Platform utilizes proprietary artificial intelligence models, machine learning systems, and automated quantitative algorithms (collectively, the "AI System") to execute market orders across diverse asset classes. These include, but are not limited to, the S&P 500 stock index, digital assets (cryptocurrencies), global commodities, and foreign exchange (Forex).
Probabilistic Modeling: The User acknowledges that the AI System operates on a probabilistic forecasting framework using historical quantitative market metrics. No historical model, algorithmic optimization, or predictive data stream can guarantee absolute or deterministic future results.
Technological Limitations: The Platform relies on external data feeds, third-party broker APIs, and cloud infrastructure. The Platform shall not be held liable for trading execution errors, unexpected slippage, algorithmic failure, order routing latency, or temporary system disconnections that cause actual executions to deviate from AI analytical models.
2. TARGET RETURN MILESTONES AND PROFIT ALLOCATION
Target Return Baseline: The AI System is structurally optimized to target a performance objective of 3.00% per calendar month. The User explicitly understands and agrees that this figure represents an optimized target baseline and is NOT a fixed, guaranteed, or protected minimum yield. Actual performance is fully non-deterministic and heavily reliant on fluctuating global market conditions.
Surplus Profit Sharing (Performance Split): In any calendar month where the net trading yield generated by the AI System exceeds the 3.00% Target Baseline, the surplus returns will be distributed using a fixed performance-based split. The surplus will be automatically allocated as 80% to the Investor and 20% to the Platform. The Platform's share is permanently retained as an automated performance fee to fund operational maintenance and liquidity stabilization reserves.
3. CROSS-ASSET MARKET RISK ACKNOWLEDGMENT
Deploying capital across volatile global financial vehicles involves an inherent risk of financial loss. By funding an account, the User acknowledges and accepts the following distinct market risks:
Equity Index Markets (S&P 500): Subject to macro-economic cycles, tracking variances, adjustments in corporate earnings reports, and central bank interest rate interventions.
Digital Assets (Crypto): Characterized by extreme intra-day volatility, potential lack of centralized market liquidity, sudden regulatory shifts, and high transaction slippage.
Forex and Commodities: Trading using financial leverage can amplify both positive yields and negative capital losses. These markets are heavily exposed to overnight geopolitical shocks and macro-economic rate announcements.
Risk of Capital Loss: The User affirms that they have the financial capacity to tolerate substantial market volatility, including the potential loss of a portion or the entirety of their deployed principal capital.
4. CAPITAL LOCK-UP PERIODS AND WITHDRAWALS
Mandatory Lock-Up Duration: To allow the AI System sufficient time to deploy capital into long-term market positions, manage open trading margins, and fully execute its quantitative cycles, all deposited principal capital is subject to a mandatory lock-up period of 6 Months (180 Days). During this active lock-up period, the User strictly cannot request a standard withdrawal of their initial principal capital.
Yield Settlement and Distribution: Any accrued net profits may be settled and requested for withdrawal at the conclusion of each billing cycle (at the end of the calendar month), subject to standard platform administrative processing times and network settlement fees.
5. EARLY LIQUIDATION AND PENALTY FEES
Early Termination Requests: If a User demands the extraction of principal capital prior to the expiration of the mandatory 6-Month Lock-Up Duration, such an action disrupts the underlying quantitative asset deployment and open margin requirements. Consequently, early liquidations are treated as extraordinary breaches of this agreement.
Liquidation Penalty Fee: Approval of an early liquidation request is at the absolute discretion of the Platform and is subject to an immediate administrative and market-disruption penalty fee of 15% of the total principal volume requested.
Processing Timeline: Due to the technical requirements of unwinding automated trading algorithms, derivative contracts, and multi-asset pool distributions safely, early liquidation settlements may take up to 14 business days to process and transfer.
6. REGULATORY COMPLIANCE AND IDENTITY VERIFICATION (KYC/AML)
Mandatory Compliance Check: To operate transparently and prevent illicit financial activities, all users must successfully pass the Platform's automated Identity Verification, Know Your Customer (KYC), and Anti-Money Laundering (AML) filtering systems before capital deployment or withdrawal mechanisms are unlocked.
Right to Terminate Access: The Platform reserves the absolute right to freeze accounts, restrict capital movement, or permanently terminate services if a User provides fraudulent identity credentials or if their account triggers compliance alerts from international regulatory bodies.
7. TECHNICAL INTERRUPTIONS AND FORCE MAJEURE
The Platform shall not be held liable for any failure, delay, or financial losses caused directly or indirectly by events beyond its reasonable operational control. This includes, but is not limited to, natural disasters, acts of war, cyberattacks (hacking/DDOS), global internet or cloud hosting infrastructure outages, blockchain network congestion, or sudden operational freezes/bankruptcies of third-party clearing brokers and digital asset exchanges.
8. GOVERNING LAW AND JURISDICTION
Governing Law: This Agreement, and any dispute, controversy, or claim arising out of or in connection with it, shall be governed by, and construed in accordance with, the laws of the Republic of Singapore.
Dispute Resolution: Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force. The seat of the arbitration shall be Singapore. The language of the arbitration shall be English.
